01Scope
SessDev provides engineering services only. In one-shot engagements, build plus handoff is separate from ongoing operations. Hosting, domain, email, backups, monitoring, incident response, and ongoing maintenance are client-owned unless a Shield or Care monthly plan is explicitly quoted and accepted.
02Engagement model
Engagements are fixed-tier (T1/T2/T3), one-shot buyout, or retainer-based. One-shot may be build-only, or build plus Shield/Care with explicit monthly term and boundaries. All work is asynchronous and brief-driven. We do not offer hourly billing.
03Payment
50% on acceptance, 50% on delivery for fixed-tier engagements. Net-15 invoicing for retainers. One-shot build/buyout and monthly operations are billed as separate line items; no recurring operational cost is embedded inside the build price. Source code is delivered after final payment clears.
04Deliverables
Build-only one-shot deliverables include production-ready source code in a repository you control, a written handoff document, and a 14-day defect-fix window from delivery date. Monthly Shield/Care deliverables are governed by their own scope, limits, response targets, and exclusions.
05Warranty
We warrant that deliverables conform to the agreed brief at delivery. Defects reported within 14 days of delivery are fixed at no extra cost. No other warranties, express or implied.
06Liability cap
Our aggregate liability is capped at fees paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or lost-profit damages.
07Termination
Either party may terminate for material breach with 14 days written notice and an opportunity to cure. Monthly Shield/Care services may be suspended or terminated for non-payment after the contract grace period and follow the documented offboarding handoff process. On termination, you keep all delivered code; we keep all paid fees.
